Terms of Use

Effective August 14, 2026

These Terms are a practical baseline for Acely’s launch and are not a substitute for individualized legal advice. If a law gives you rights that cannot be waived by contract, those rights still apply.

1. Who may use Acely

Acely is intended for people age 13 and older. If you are under 18, you may use Acely only with permission from a parent or legal guardian who has reviewed these Terms with you. Acely is not intended for children under 13. If we learn that an account belongs to a child under 13, we may suspend the account and delete associated personal information as required by law.

2. Your account

You are responsible for providing accurate account information, protecting your sign-in credentials, and activity performed through your account. Do not share authentication links, passwords, or access tokens. You may sign in using supported identity providers or email authentication. Where supported by our authentication provider, identities using the same verified email may be linked to one Acely account.

3. What Acely does

Acely is a study tool. It can organize study material, create study guides, flashcards and practice questions, provide explanations, and track study activity. AI-generated content can be incomplete or incorrect. You remain responsible for checking important facts against your teacher, course materials, textbook, or other reliable sources.

Acely is not a substitute for a teacher, tutor, academic advisor, medical professional, lawyer, or other licensed professional.

4. Your material

You keep ownership of notes, documents, images, prompts, and other material you submit to Acely. You grant Acely a limited license to host, process, reproduce, and transmit that material only as reasonably necessary to operate, secure, improve, and provide the service to you.

Only upload material that you have the right to use. Do not upload another person’s highly sensitive personal information, passwords, private account credentials, or material whose disclosure would violate law or an obligation you owe to someone else.

5. Acceptable use

Do not misuse Acely or attempt to interfere with its security, availability, billing, rate limits, authentication, or other users. You may not use Acely to distribute malware, gain unauthorized access, scrape private user information, evade usage limits, commit fraud, harass people, or violate applicable law.

Acely is designed to help you learn. You are responsible for following your school’s academic-integrity rules. Do not use Acely in a way that your school or teacher prohibits during an exam or graded assignment.

6. Acely Credits and AI usage

Acely Credits measure access to new AI generation and other compute-intensive features. Actions may have different credit costs, and the cost will be shown or described in the product. Reviewing previously generated material, retaking saved practice, or using other features may cost zero credits where the product says so.

Included subscription credits may reset on the schedule shown in your plan. Purchased top-up credits may remain available until used unless we clearly state otherwise. Credits have no cash value, cannot be transferred between users, and are not a bank balance or stored-value account.

We may impose technical rate limits, concurrency limits, file-size limits, or emergency usage caps to protect users, prevent abuse, and control service costs.

7. Paid plans, renewals, and cancellation

Paid plans and one-time credit purchases are processed by Stripe or another payment processor identified at checkout. Prices, billing periods, included credits, and any taxes are shown before purchase.

Recurring subscriptions automatically renew for the same billing period until canceled. You can cancel a subscription using the billing-management method made available by Acely or Stripe. Cancellation normally takes effect at the end of the current paid period unless applicable law or the checkout flow states otherwise.

Except where required by law or expressly offered by Acely, payments and used credits are not refundable. This does not limit refund, cancellation, or consumer rights that cannot legally be waived.

8. Availability and changes

We work to keep Acely reliable, but we do not promise uninterrupted availability. Features may be changed, limited, suspended, or discontinued for security, legal, provider, technical, or business reasons. If a third-party AI or infrastructure provider changes its rules, we may temporarily disable affected functionality rather than operate it unlawfully or insecurely.

9. Account suspension and deletion

We may suspend or terminate accounts that materially violate these Terms, abuse the service, create security risk, or require suspension for legal reasons. You may delete your Acely account from Settings. Deletion removes account-linked application data from active systems subject to limited retention required for security, fraud prevention, billing records, backups, or law.

10. Disclaimers

To the maximum extent permitted by law, Acely is provided “as is” and “as available.” We do not guarantee a particular grade, test score, learning outcome, AI answer, or uninterrupted service. Nothing in these Terms excludes warranties or protections that applicable consumer law does not allow us to exclude.

11. Limitation of liability

To the maximum extent permitted by applicable law, Acely and its operators will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to use of the service, including loss of data, profits, opportunities, or academic outcomes.

To the maximum extent permitted by applicable law, the aggregate liability of Acely and its operators for claims arising from or related to the service will not exceed the amount you paid to Acely during the 12 months immediately before the event giving rise to the claim. If applicable law requires a different or greater minimum remedy, that mandatory remedy controls. This section does not limit liability that cannot legally be excluded or limited.

12. Governing law and venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except that mandatory consumer protections in your place of residence continue to apply where required by law.

To the extent a dispute may lawfully be required to proceed in a particular forum, you and Acely agree to the state and federal courts located in Orange County, California. This does not prevent you from bringing a claim in another court or forum when applicable consumer law gives you a non-waivable right to do so.

13. Indemnification

To the extent permitted by law and only if you are legally capable of assuming this obligation, you agree to defend, indemnify, and hold harmless Acely and its operators from third-party claims, damages, liabilities, costs, and reasonable expenses arising from your unlawful misuse of Acely, your material violation of these Terms, or material you submit without the rights needed to use it. This section does not require indemnification for Acely’s own unlawful conduct or for obligations that applicable law does not permit us to shift to you.

14. Changes to these Terms

We may update these Terms as Acely changes. If a change materially affects your rights, we will provide reasonable notice through the service or another appropriate method before the change takes effect when required.

15. Questions and account requests

Account data can be exported or deleted from Acely Settings. A dedicated public support contact should be used for requests that cannot be completed in the app; Acely will display that contact method before public commercial launch.
